By accessing or using Refract at refractai.xyz (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Refract provides AI-powered pitch deck analysis. You upload a PDF pitch deck, and our Service generates a structured analyst memo with feedback. The analysis is delivered via email and accessible through a web link.

3. User Obligations

By using the Service, you agree to:

• Provide a valid email address for receiving your analysis
• Only upload pitch decks that you have the right to share
• Not upload content that is illegal, harmful, or violates third-party rights
• Not attempt to abuse, overload, or interfere with the Service
• Not use the Service for any purpose other than receiving pitch deck feedback

4. Intellectual Property

Your Content: You retain all ownership rights to the pitch decks you upload. By submitting a pitch deck, you grant Refract a limited, non-exclusive licence to process your document solely for the purpose of generating your feedback.

Our Content: The Refract name, logo, website design, and analysis framework are the property of Refract. The generated feedback is provided to you for your personal and business use.

5. AI-Generated Content Disclaimer

The feedback provided by Refract is generated by artificial intelligence and is intended for informational purposes only. It does not constitute investment advice, financial advice, or any form of professional advisory service. The analysis represents a simulated VC evaluation perspective and should not be relied upon as the sole basis for any business or investment decision.

6. No Warranty

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the feedback will be accurate or complete.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Refract and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid (if any) for using the Service.

8. Data Processing

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Consent and Opt-In

Before submitting a pitch deck, you must agree to these Terms and our Privacy Policy. You may also optionally consent to Refract using anonymised insights from your submission to improve its evaluation models. This optional consent can be given or withheld at the time of submission and does not affect your access to the Service.

10. Service Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Termination

We may terminate or restrict your access to the Service at any time, without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
